Notice of 2020 Annual General Meeting

Notice is hereby given that the 2020 Annual General Meeting of the members of Ringwood City Football Club Limited trading as Ringwood City Soccer Club (‘the Club’) will be held at Jubilee Park, Club Rooms, Reilly Street, Ringwood on Thursday 25th March 2021 at 7.00pm (AEDT).
Registration for the meeting will commence at 6.30pm.
*pending Covid-19 restrictions allowing public gatherings, alternatively meeting to be held via zoom, link to forwarded to all if required.

  1. Confirmation of minutes of 2019 Annual General Meeting, 3rd December 2019
  2. Presentation

Treasurers Report

  1. To consider and receive the Financial Report for the 2020 financial year.
  2. Change to Constitution.  

This is a special resolution requiring more than 75% of those members in favour to be passed.

To amend clause ‘9.4 Maximum Term of Office’ of the Constitution.

9.4. Maximum term of office
Unless otherwise approved by the Members in General meeting a Director may not serve more than three consecutive terms as a Director.
If a Director has served three consecutive terms, they may not be elected as a Director again until the second annual general meeting after the end of their third term of office.

Proposed Amendment
9.4A Exception to rule 9.4
To add the following words to the end of paragraph 1
… If the Director has not served, or has only served one or two of those terms as President, that person is eligible for election as President for one or two further consecutive two-year terms…

  1. Election of Committee

In accordance with the Club’s Constitution, there is a requirement for the following positions to be elected.

President Existing Committee member Robert Blyth offers himself for re-election.
       Vice- President no nomination received.
Treasurer Existing committee member Cheryl Raso offers herself for re-election.
       General Committee no nomination received.

The Club is seeking nominations for the roles of Vice President and General Committee. To nominate you must be an Ordinary Member (or the parent or legal guardian of a Junior Member).

6. General Business

To deal with any other business that may be brought forward in accordance with the Constitution and the Incorporated Associations Act.

Further Information
For the Annual General Meeting to occur, a quorum of members is required to attend.
The Committee urges you to support the Club by attending this meeting.

Voting entitlements

The Committee has determined, in accordance with the Club’s Constitution and the Incorporated Associations Act 2001, that a member’s voting entitlement at the meeting will be taken to be the entitlement of that person shown in the register of members as at 31 July 2020.

Only those members in attendance will have a voting right.  Members of the Club are defined under section 3 of the Club’s Constitution.

Proxies

As per section 6.3 of the Club’s Constitution, proxy voting is not permitted at meetings of the Club.

Change to Constitution

Nominations close seven (7) days prior to the Annual General Meeting.  No nominations will be accepted after 7.00pm (AEDT) on Thursday 18th March 2021.
